LANGUAGE NOTE — In accordance with the Charter of the French Language, the French version of these Terms is the official version. This English version is provided as a courtesy translation. In the event of any inconsistency, the French version prevails.
IMPORTANT NOTICE: Please read these Terms and Conditions (the “Terms”) carefully before using the StaffMTL platform. By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or the Services.
1. Definitions
“Company,” “we,” “our,” or “us” means Groupe MBH inc., a corporation with its head office at 14 rue de la Falaise, province of Quebec, Canada, operating the StaffMTL platform.
“Site” means the website staffmtl.ca (or any other domain operated by the Company) and all of its sub-pages.
“Services” means all features offered by the Company, including paid publication of job postings and promotional posts intended for diffusion on the Facebook group “Staff de Bar & Resto Montreal” or any other channel operated by the Company.
“Client” means any natural or legal person (including any bar, restaurant, hotel or other hospitality establishment) who creates an account and uses the Services.
“Content” means any text, image, video, file or other information submitted by a Client for publication through the Services.
2. Acceptance and Modification of the Terms
2.1 Acceptance
Your use of the Site or the Services constitutes your full acceptance of these Terms. If you use the Services on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.
2.2 Modifications
The Company reserves the right to modify these Terms at any time. Modifications take effect upon posting on the Site. The Company will provide reasonable notice when modifications are material, in accordance with the requirements of the Civil Code of Quebec. Continued use of the Services after a modification constitutes acceptance of the modified Terms.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least eighteen (18) years old and have the legal capacity to contract in order to use the Services. The Services are intended for commercial use by hospitality establishments.
3.2 Account creation
You must provide accurate, complete, and up-to-date information when creating your account. You are responsible for the confidentiality of your credentials and for all activity occurring under your account.
3.3 Account security
You must promptly notify the Company of any unauthorized use of your account or other breach of security. The Company shall not be liable for any loss arising from your failure to do so.
4. Description of the Services
4.1 Publication platform
StaffMTL is a platform through which Clients may submit, against payment, job postings or promotional posts to be diffused on one or more channels operated by the Company, primarily the Facebook group “Staff de Bar & Resto Montreal.”
4.2 No employment relationship
The Company acts solely as a publication intermediary. It is not a placement agency, employer, agent, or representative of Clients or job seekers. The Company is not a party to any contractual, employment, or other relationship that may result from a publication.
4.3 Availability
The Company endeavors to maintain the Services available at all times but does not guarantee uninterrupted or error-free availability. The Services may be suspended for maintenance, updates, or any other reason.
4.4 Reliance on third parties
The Services rely on third-party platforms (notably Facebook/Meta, Stripe, and hosting providers). The Company shall not be liable for any interruption, modification, or discontinuation of such third-party services.
5. Pricing, Payment, and Billing
5.1 Pricing
Prices applicable to the Services are displayed on the Site at the time of submission. The Company reserves the right to modify its prices at any time, without prejudice to publications already paid for.
5.2 Payment
Payments are processed by Stripe, a third-party payment processor. The Company does not directly collect or store complete credit card information. By submitting a payment, you accept Stripe’s terms.
5.3 Taxes
Prices displayed exclude GST and QST, unless otherwise indicated. Applicable taxes are added at the time of payment and shown on the invoice.
5.4 Billing
A payment confirmation and, where applicable, an invoice compliant with Quebec and Canadian tax requirements will be sent to you by email.
5.5 Refund policy
All payments are final and non-refundable, except: (a) technical errors of the platform preventing publication; (b) refusal of publication by the Company under Section 6; or (c) any other case where a refund is required by applicable law. Refund requests must be submitted to info@staffmtl.ca within seven (7) days of the transaction.
5.6 No auto-renewal
The Services are offered on a one-time basis. No recurring charges are billed without your express consent. If subscription-based Services were to be offered, they would be governed by sections 230 to 236 of the Consumer Protection Act, including applicable notice requirements.
6. Content and Publication Rules
6.1 Responsibility for Content
You are solely responsible for the Content you submit. You represent and warrant that (a) you hold all necessary rights in such Content, (b) the Content is accurate, lawful, and compliant with these Terms, and (c) the Content does not infringe any rights of third parties.
6.2 Prohibited content
It is prohibited to submit Content that:
- is false, misleading, fraudulent, or defamatory;
- constitutes discrimination contrary to the Quebec Charter of Human Rights and Freedoms, including on the basis of origin, sex, sexual orientation, age, disability, or religion;
- violates applicable labor laws (notably the Act respecting labour standards and the Act respecting occupational health and safety);
- offers working conditions below the minimum standards in force in Quebec;
- contains personal information of third parties without their consent;
- constitutes spam, sexually explicit, hateful, violent, or illegal content;
- infringes intellectual property or contractual rights.
6.3 Moderation
The Company reserves the right, in its sole discretion, to refuse, modify, withdraw, or suspend any publication that breaches these Terms, without prior notice. A refusal of publication entitles the Client to a full refund of the amount paid for such publication.
6.4 License granted to the Company
By submitting Content, you grant the Company a non-exclusive, worldwide, royalty-free license, limited to the duration of the diffusion, to reproduce, publish, adapt (for formatting purposes), translate, and diffuse the Content through the channels operated by the Company (including the Facebook group), for the purpose of providing the Services.
7. Language Compliance
The Site and the Services are offered in French and English. The French version of these Terms is the official version. The English version is provided as a courtesy translation. In the event of any inconsistency, the French version prevails. This provision complies with the Charter of the French Language.
8. Intellectual Property of the Company
All elements of the Site, except Content submitted by Clients, including texts, logos, graphics, source code, databases, and trademarks, remain the exclusive property of the Company or its licensors. No license or transfer of ownership is granted by these Terms.
9. Personal Information
The collection, use, disclosure, and retention of your personal information are governed by the Company’s Privacy Policy, which forms an integral part of these Terms and complies with Quebec’s Act respecting the protection of personal information in the private sector (Law 25) as well as Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA).
10. Warranties and Disclaimers
10.1 “As is” Services
Subject to mandatory applicable provisions, the Services are provided “as is” and “as available,” without any express or implied warranty, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
10.2 No warranty on Content
The Company does not verify the accuracy of information posted by Clients. The Company does not guarantee the success of any publication, the number of candidates or customers it will generate, or the quality of any resulting relationship.
10.3 Statutory warranties preserved
Nothing in these Terms limits the legal warranties provided by the Civil Code of Quebec or the Consumer Protection Act where these are mandatory.
11. Limitation of Liability
To the fullest extent permitted by applicable law, the total cumulative liability of the Company toward any Client, for any cause whatsoever, is limited to the total amount paid by such Client to the Company in the twelve (12) months preceding the event giving rise to the claim. The Company shall not be liable for indirect, incidental, special, or exemplary damages, including loss of profits, goodwill, data, or business opportunities.
This clause does not apply in cases of gross or intentional fault of the Company, nor to the extent it would contravene a mandatory provision of Quebec law.
12. Indemnification
You agree to indemnify and hold the Company harmless against any claim, action, loss, damage, or expense (including reasonable legal fees) arising from: (a) your use of the Services in breach of these Terms; (b) infringement of third-party rights by your Content; or (c) your breach of applicable laws.
13. Suspension, Termination, and Account Deletion
13.1 By the Client
You may terminate your account at any time using the procedure available in your dashboard or by writing to info@staffmtl.ca. Publications already paid for and not yet diffused at the time of termination will be diffused or refunded as the case may be.
13.2 Deletion of personal information
Upon a deletion request, the Company will promptly delete or anonymize personal information associated with your profile (name, email, telephone). However, in accordance with the Income Tax Act (Canada), the Tax Administration Act (Quebec), and the Excise Tax Act, the Company is required to retain accounting and tax records (invoices, receipts, transaction logs, GST/QST records) for a minimum period of six (6) years from the end of the last fiscal year to which they relate.
13.3 By the Company
The Company may suspend or terminate your account, with or without notice, in case of material breach of these Terms or conduct affecting the security or reputation of the platform.
14. Force Majeure
The Company shall not be liable for any failure resulting from a force majeure event within the meaning of article 1470 of the Civil Code of Quebec, including: Internet outage, third-party provider failure, suspension of the Facebook account, pandemic, natural disaster, or government decision.
15. Governing Law and Jurisdiction
These Terms are governed by the laws in force in the province of Quebec and the laws of Canada applicable therein. Any dispute shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, province of Quebec, subject to mandatory consumer protection provisions.
16. General Provisions
16.1 Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services.
16.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect.
16.3 Waiver
The Company’s failure to require performance of any provision shall not constitute a waiver of its right to require such performance at any later time.
16.4 Assignment
You may not assign your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign these Terms to any successor, acquirer, or affiliate.
